Terms of Service

These terms are an agreement between Quantum S2 Ltd ("we", "us"), a company registered in Nigeria with RC number 1806209 and its registered office at No 8, Thomas Salako Street, Agege, Lagos, and the business that signs up for Quantum - SalesMaster ("the Customer", "you"). Quantum - SalesMaster is a product of Quantum S2 Ltd, not a separate company. These terms apply to the Quantum - SalesMaster app at app.quantum-salesmaster.com and to this website.
If you accept these terms on behalf of a business, you confirm that you are authorised to bind that business.
1. What Quantum - SalesMaster is
Quantum - SalesMaster is an online service for field sales teams. It lets your sales representatives plan routes, record visits to shops, take orders, record payments and add new customers on their phones, including when they have no signal, and lets your managers and administrators see that work and set the business up.
We provide the service "as a service" over the internet. We do not sell you a copy of the software.
2. Your workspace and your users
- Workspace. Each Customer gets its own workspace. Only the business owner signs up or is invited by us to open a workspace. Everyone else (administrators, managers and sales representatives) is invited by the Customer from inside the workspace.
- Users. You decide who to invite and what role they have. You are responsible for what your users do in the workspace, and for removing people who should no longer have access.
- Sign-in details. Each user must keep their password private and must not share an account. Platform administrators and, where we require it, company administrators must use two-step sign-in. Tell us straight away at [SECURITY CONTACT EMAIL] if you think an account has been misused.
- One business per account. A sign-in belongs to one active workspace at a time.
3. Plans, prices and payment
Plans. We offer a Free plan, a Starter plan and a Team plan. Every plan has every feature; plans differ in how many users can sign in. "Users" means everyone who can sign in to the workspace, plus open invitations.
Plan Users Price Free 2 Free of charge for 12 months Starter 5, plus up to 5 more ₦64,500 a month; extra users ₦10,750 each a month Team 15, plus more in blocks of 10 ₦161,250 a month; extra users ₦5,375 each a month Yearly. If you pay for a year in advance, you pay the price of 10 months for 12 months.
VAT. All prices are in Nigerian naira and include Value Added Tax at the current rate of 7.5%. If the VAT rate changes, the price including VAT may change from the date the new rate applies.
Paying. You pay in advance for each period, by bank transfer or by any other method we make available. Payments made from outside Nigeria are charged in naira; your card company or bank sets any exchange rate and fees.
Price changes. We may change our prices by giving you at least 30 days' notice by email. A change applies from your next period. If you do not agree, you may stop using the service before the change applies.
Free and complimentary periods. We may offer a free or reduced-price period. When it ends, the workspace follows the rules in section 4 unless you choose a paid plan.
Refunds. Payments are not refundable except where these terms say otherwise or where the law (including the Federal Competition and Consumer Protection Act 2018) requires a refund.
4. When a plan ends
- When a paid or free period ends and has not been renewed, you have 7 days' grace during which the workspace works as normal.
- After the grace period the workspace becomes read-only: everyone can still sign in and see everything, but nothing can be added or changed, except that administrators can still remove people. Work that a sales representative recorded offline is kept on their phone and sent when the plan is renewed.
- We do not delete your data because a plan has ended. Section 9 explains what happens when you close your workspace or ask us to delete it.
5. Acceptable use
You and your users must not:
- use the service for anything unlawful, fraudulent or harmful, or in breach of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015;
- upload personal data you have no lawful basis to use, or content that infringes someone else's rights;
- try to get into another Customer's workspace, test or break our security, or get round the limits of your plan;
- copy, resell or reverse-engineer the service, or use it to build a competing product;
- overload the service with automated requests or upload malicious code.
We may suspend a workspace or a user, after warning you where reasonably possible, if we reasonably believe these rules have been broken or to protect the service, other Customers or the public. We will restore access once the problem is resolved.
6. Your data
- You own your data. Everything you and your users put into the workspace (products, prices, customers, orders, visits, payments, photos and so on) belongs to you.
- Our use of it. We use your data only to provide, secure and support the service for you, as set out in our Data Processing Agreement, which forms part of these terms. For your customers' and staff's personal data you are the data controller and we are your data processor under the Nigeria Data Protection Act 2023.
- Your responsibilities. You are responsible for having a lawful basis under the Nigeria Data Protection Act 2023 for the personal data you put into the service, for telling the people concerned (for example your shop customers and your sales staff) how their data is used, and for the accuracy of what you enter.
- Our own personal data use. How we use the personal data of the people who sign in and contact us is explained in our Privacy Policy.
- Service information. We may use information about how the service is used, in a form that does not identify you or any person, to run, secure and improve the service.
7. Our responsibilities
- We will provide the service with reasonable skill and care, keep it secure using appropriate technical and organisational measures, and keep each Customer's data separate from every other Customer's.
- We aim for the service to be available at all times but do not promise that it will be uninterrupted or error-free. We may need to carry out maintenance, which we will try to do outside normal Nigerian working hours and announce in advance where it is significant.
- We may change or improve features. We will not remove a feature that is central to the service without giving you reasonable notice.
- We use other companies to host and run parts of the service (see the Privacy Policy). We remain responsible to you for them under these terms.
8. Intellectual property
We (or our licensors) own the service, the software, its design and the Quantum - SalesMaster name and logo. We give you and your users a non-exclusive, non-transferable right to use the service for your internal business purposes while your workspace is active. Some parts of the service use open-source software under their own licences. If you send us suggestions, we may use them without obligation to you.
9. Ending the agreement
- By you. You may stop using the service at any time by telling us at [SUPPORT EMAIL]. Paid periods are not refunded unless the law requires it.
- By us. We may end this agreement by giving you at least 30 days' notice, or straight away if you seriously breach these terms and do not fix the breach within 14 days of our asking, or if you become insolvent.
- Your data at the end. For 30 days after the agreement ends you may ask us for an export of your data. After that, or earlier if you ask in writing, we will delete your workspace data within 90 days, except where the law requires us to keep it. Copies in our backups are overwritten in the normal backup cycle.
10. Liability
- Nothing in these terms limits liability that cannot be limited by Nigerian law, including liability for fraud or for death or personal injury caused by negligence.
- Subject to that, neither of us is liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.
- Subject to that, our total liability to you in any 12-month period is limited to the amount you paid us for the service in that period, or ₦[AMOUNT] if that is higher.
- You are responsible for checking orders, prices and payments recorded in the service before relying on them for accounting or tax.
11. Events beyond control
Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as a failure of the public internet or power networks, action by a government, strikes, fire, flood or epidemic.
12. Changes to these terms
We may update these terms. If a change materially affects you, we will tell you by email or in the app at least 30 days before it applies. If you keep using the service after that, the new terms apply.
13. General
- Notices. We send notices to the email address of your workspace owner. You send notices to [SUPPORT EMAIL] or to our registered office.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it to a company that takes over the service, and will tell you if we do.
- Whole agreement. These terms, the Data Processing Agreement and any order form we agree in writing are the whole agreement between us about the service.
- Severability. If a court finds part of these terms unenforceable, the rest stays in force.
- Governing law and courts. These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have jurisdiction, but we will first try in good faith to settle any dispute by discussion for at least 30 days.
